EXOBASIS / Legal information
Service terms
These terms explain how you work with Auranex LLC, from the offer and delivery through to handover and ending an assignment. Your individual offer sets out the work you commission, its price and the agreed timetable. An enquiry or orientation call does not commit you to an assignment.
Offer and contract
Your contracting party is Auranex LLC, 131 Continental Dr, Suite 305, Newark, DE 19713, United States, represented by Raphael Rechberger. The public contact for contract enquiries is legal@exobasis.com. You can reach the representative at raphael@exobasis.com. Further details appear in the Provider information.
An enquiry helps establish your task and the appropriate next step. The free orientation call lasts 20 minutes and is optional. If you already know the task, you can enquire about an individual service directly. A paid initial assessment or comprehensive plan is not a prerequisite.
The offer identifies the people and countries covered, the work, the result to be delivered, required documents and decisions, responsibilities, price and currency, payment terms and delivery timetable. Ongoing support also specifies its scope, duration and terms for ending it. Before you commit, you receive the offer, these terms and the consumer information required for your contract in a form you can save.
The assignment is agreed when you accept the specific offer using the acceptance method stated in it. The agreed version determines the scope. Selecting a topic in the enquiry form, requesting a call or receiving an acknowledgement of your enquiry does not accept a paid offer. Payment and the start of work are separate steps governed by the agreed terms.
Practical help sets out the services you can commission individually. How EXOBASIS works explains preparation, execution and handover. To discuss a particular task, make a Private enquiry.
Payment and work stages
The fee follows the scope offered and accepted. Advice, a personal plan, setting up an individual arrangement and ongoing support are separate services. Fees already paid are credited towards a later assignment where the offer provides for that credit. Work already included is not charged a second time. The personal expert consultation fee is not credited against a Plan B build fee.
The offer identifies the EXOBASIS work and procured execution included in the price. Fees payable directly to specialists, official charges, travel and other expenses are distinguished from that price. In a Plan B mandate, the EXOBASIS fee, procured services at cost price and official or programme costs form three separate layers. Procured services are paid by you directly to the executor or passed through by EXOBASIS at cost price. Official costs and programme contributions are always paid by you directly; they are never part of the fee or a lump sum. A consumer offer states the total price including applicable taxes and unavoidable charges. Where the nature of the task prevents a cost being calculated in advance, the calculation method and possible additional charge are explained before you accept.
Currency, amount, due date and payment method are set for the particular assignment. Where work is divided into stages, the offer allocates payments to those stages. If an advance payment is agreed for a stage, that stage starts once payment and the other start requirements are satisfied. There is no single advance-payment percentage for every service. In a Plan B build, the fee is due in two milestones: 50 percent at mandate start, 50 percent at handover. Ongoing care is billed annually or in four quarterly instalments. No discounts apply to mandates or the established price tiers; the decided term discounts for the knowledge membership remain unaffected.
Additional expenditure is agreed with you before it is incurred. Approval of one expense does not authorise unrelated purchases. Payment does not itself establish that an appointment has been booked, a bank has accepted you, an authority has approved an application or delivery is complete.
Your participation
You provide accurate information and the evidence required for your assignment. Depending on the task, this may include identity and residence records, family information, existing contracts, powers of attorney or evidence of the source of funds. EXOBASIS identifies what is needed for each step. Previously checked information can be reused where its purpose and currency remain appropriate.
Decisions about countries, expenditure, applications and contracts remain yours. An organisational assignment does not replace a required signature, identity check, personal appearance or specific authorisation. You tell EXOBASIS about changes in your family, legal or financial circumstances where they affect the commissioned work.
If information, approval or a necessary appointment is missing, EXOBASIS identifies the affected step and the consequences for the timetable. A revised date or additional work is agreed specifically. Missing participation does not automatically trigger a flat extra charge or make you responsible for every delay.
Personal records are requested for the particular purpose through the protected channel agreed for the work. Passwords and sole-access recovery keys do not belong in ordinary case intake. Setting up an account or authorisation must not replace your own control and recovery arrangements with an undisclosed dependence on EXOBASIS.
Specialist agreements
EXOBASIS undertakes the planning, setup, organisation, execution or support promised in the offer. This can include its own work and procured execution. Where EXOBASIS commissions a supplier to fulfil its own promised service, that service remains part of your EXOBASIS assignment. Bringing in a supplier does not retrospectively turn it into your direct specialist contract.
Contracts you enter into directly with a law firm, tax adviser, bank, insurer, custody provider or another supplier are distinct. Before that step, the provider, task, fee, necessary authority and continuing coordination are identified. Where a personal professional engagement or account opening is required, you make the necessary declarations yourself or provide a suitable specific authorisation.
EXOBASIS itself operates as a law firm and a licensed specialist body. Specialist partners act as executors and suppliers in their respective roles and do not confer any status on EXOBASIS. A bank decides whether to accept a customer, an authority decides an application and an insurer decides whether to enter into its contract. Organising that process and obtaining the other party’s approval are different outcomes.
Additional work and changes
Another country, additional family members, new legal requirements, a further assessment or travel can change the scope. EXOBASIS then identifies the additional work, its intended result and its effect on price and timing. That extension is agreed with you and recorded against the assignment before it is performed. A new enquiry does not automatically expand an existing commission. In a Plan B mandate, work beyond the agreed hour cap is charged at 200 EUR per hour and requires your prior written approval.
Included follow-up, explaining a handover and correcting a discrepancy for which EXOBASIS is responsible are not treated as a new assignment simply because another message is needed. New planning prompted by changed personal circumstances is different.
Continuing updates, availability and activating a prepared plan each require an agreed scope. Preparing a plan does not create an unlimited support commitment. Ongoing care includes 36 own hours per year; the annual review, care conversations with preparation and follow-up, and adjustment tasks by scope (Core: 4, Complete: 8, Extended: 12 per care year) all draw on this pool. Either limit alone triggers additional billing: a task beyond the adjustment cap even with hours remaining, or work after the 36 hours are used even within the adjustment cap. In both cases, 200 EUR per hour applies after prior written approval; the same hour is counted only once.
Where you call on an already agreed readiness arrangement, it requires the emergency plan created or checked by EXOBASIS and ongoing care with agreed readiness. Triggers, contact arrangements, available execution and the pre-agreed hour corridor are recorded in the emergency plan and the care contract. Activation work is billed separately from the first hour at 200 EUR per hour and does not draw on the care pool. A new individual mandate, including emergency support, is agreed for its specific task: existing preparation can be reviewed and used, necessary preparatory work is determined by the assignment, and scope and billing are set for that task without a blanket care requirement.
Handover and corrections
You receive the agreed results with a record of the actual position: completed steps, available evidence, outstanding decisions and the people or organisations responsible for them. Planning includes the agreed basis for your decisions and next steps. For setup or organisational work, handover distinguishes what has been configured, submitted, tested or confirmed by another party. A prepared application is not presented as an approval already granted.
Handover explains how to use the results, continuing access and the follow-up included in your assignment. A records, access or recovery assignment documents the agreed handover and recovery arrangements. A test actually carried out is distinguished from a check that is merely planned.
If a service does not match the agreed scope or result, you can report the particular discrepancy to legal@exobasis.com. EXOBASIS checks it against the assignment and agrees the necessary remedy with you. Your statutory rights for defective or non-conforming performance remain available. Merely sending documents, or your silence, is not treated by these terms as acceptance of the work or a waiver of claims.
Continuing maintenance, new checks and later adjustments are included only to the extent commissioned.
Ending the assignment and consumer rights
You can notify EXOBASIS of a cancellation, a requested change or termination at legal@exobasis.com. Please identify the assignment and relevant stage. EXOBASIS records the work completed, outstanding matters, third-party work already authorised and the handover of your documents. Avoidable expenditure is distinguished from commitments already made.
Outside a statutory cooling-off cancellation, the final account follows the agreed assignment, work performed and applicable law. It distinguishes payments received, completed work, any further remuneration legally due and attributable third-party costs. Any resulting credit is repaid. Advance payments are not automatically forfeited in full. The duration and ordinary termination terms for ongoing support are stated in the accepted offer; statutory termination rights remain available.
Cancellation where UK consumer rules apply
For a distance contract for our paid advisory, planning or organisational services covered by the Consumer Contracts Regulations 2013, you can cancel as a consumer without giving a reason. The normal cancellation period ends 14 days after the day the contract is entered into. Failure to provide the required cancellation information can extend that period. Before you commit, you receive the information applicable to your assignment and the model cancellation form.
You can cancel by a clear statement to Auranex LLC, 131 Continental Dr, Suite 305, Newark, DE 19713, United States, for example by email to legal@exobasis.com. You do not have to use the model form or give a reason. Sending your cancellation before the deadline is sufficient. Following valid cancellation of that service contract, payments received are repaid without undue delay and no later than 14 days after EXOBASIS is informed. The original payment method is used unless you expressly agree otherwise, and no refund fee is charged.
If you want work to start during the cancellation period
An early start requires your express request and the required information about its consequences. If you then cancel, any permitted charge is limited to the proportionate value of services supplied up to cancellation. That charge requires both the prescribed information and your express request; for an off-premises contract the request must be on a durable medium. If the agreed total price is excessive, the calculation uses the market value of the service supplied instead.
Starting work does not by itself end your cancellation right. For a fully performed service, the right can end only when the legal conditions are met, including your prior express request to start and acknowledgement that you would lose the right on full performance. An enquiry, urgency or payment does not replace those declarations.
This service rule is not automatically applied to a separate banking, insurance, travel, goods or digital-content contract. If you are based in the UAE or another country, the particular contract and applicable law determine your consumer rights. English-language copy and the LLC’s US address do not select the governing law. Service or contract question? Ask about your assignment. The form opens with “General enquiry” selected. You can change the selection and explain your question in the optional message field. For the general contact route, use Private enquiry. You can find the services available individually under Practical help. A question is not an order.
