Company formation and ongoing administration
An overseas company that works for your business
Your company should let you serve customers, receive income and stay in control wherever you build your life. EXOBASIS helps you choose a suitable structure, establish it and organise the administration that follows.
Start with a personal expert plan if the choice is still open, or commission a defined formation, reorganisation or administration task directly. Existing decisions and useful work from your advisers come with you.
An operating business, built in the right order
Choose the jurisdiction around the work your company will do.
- Start with
- Activity, customers, management and your residence
- Set up
- Entity, records, banking and authorised representation
- Keep current
- Accounts, returns, licences and recurring duties
Commission the part your business needs
Choose the result you need. A personal expert plan gives you a written recommendation, realistic alternatives and the steps to put your chosen structure to work. It brings together ownership, actual management, tax obligations, a viable payment route, costs and suitable contacts. You can use the dossier yourself or ask us to carry out the next part.
For a particular unresolved issue, choose written expert answers in a package of 3, 7 or 15 questions. Questions bound to a specific plan use the plan-question rate. Standalone expert questions for new matters are booked after the intake; context gathering and guidance on formulating your questions are part of the product. For a decision you want to work through in conversation, choose a prepared 60-minute expert consultation. The conversation and a written expert plan are separate products. Formation, ongoing administration and changes to an existing company are practical assignments with their own agreed result.
Personal expert plans start from €193; your selected scope has its own total. Comparing the company, its location and the basic banking route belongs in one complete company plan. You approve the jurisdiction, structure, professional appointments and costs before implementation.

What must your business be able to do?
Tell us where your customers are, where you and your team work, how decisions are made and how money moves. An online consultancy, a trading business and a company holding family assets have different requirements. We identify the contracts, payment services, licences and people on which your income depends.
If war, repression or a forced change of location is driving the decision, the question becomes practical: can the business invoice, receive money and fulfil its commitments from the alternative base? A new entity is useful only where it solves an identified dependency. Business structure, income and continuity explains the wider decisions.

Offshore company formation: compare the obligations, not just the address
For a UK-based owner, incorporation abroad must be considered alongside where the business is actually controlled. HMRC explains that central management and control is a question of fact, concerned with the highest level of control. If you continue directing the company from Britain, an overseas registration does not settle its tax residence. HMRC: central management and control.
For Dubai company formation, free-zone status also has conditions. The UAE Federal Tax Authority links the 0% corporate-tax treatment to a Qualifying Free Zone Person and Qualifying Income, with substance and compliance requirements. We obtain advice on your actual activity and income rather than apply a headline rate to the whole business. FTA: Free Zone Persons.
Georgia company formation, a UK LLP and other options enter the comparison where they fit the activity. For each serious option, the specialist brief covers owners, management, tax residence, customers, licensing, annual duties and the cost of closing or changing the structure. Your personal departure is considered separately through departure and tax planning.
Considering a US LLC? Its suitability depends on the owners, US tax classification, actual work and the countries connected with the business. Income-tax treatment, reporting and banking each need their own answer. Our US LLC service covers the personal plan, formation and work on an existing LLC. The US LLC guide explains the rules and practical differences.
Start with the LLC’s tax classification: the actual owners and any tax election determine which reporting framework applies.
Distinguish US income-tax treatment from information-reporting duties.
Keep BOI and ownership reporting separate from bank due diligence and account requirements.

From the agreed structure to company records
Once you approve the structure and costs, we organise the documents and execution: ownership information, identity and address evidence, source-of-funds records where required, registered-office instructions, signatures and the filings handled by the appropriate professionals. We follow queries through to resolution.
The handover distinguishes the registry confirmation from the tasks still needed to operate. We assemble the formation documents, ownership and management records, relevant tax identifiers and the schedule of outstanding appointments or approvals. You know what has been completed and who owns each remaining task.

Banking, address and a route for customer payments
We prepare the banking case alongside formation: what the company does, who owns it, where its customers and suppliers are and which payments it expects. A bank or payment provider assesses that relationship separately from the registry. We organise the evidence and correspondence through the selected institution’s process.
The registered address, operating location and location of management each have a purpose. We make those purposes explicit in the setup. Before treating the payment route as usable, the authorised person needs the accepted account, appropriate limits and working access. Connect this work with banking and liquidity preparation.
We organise the agreed business address and any local facilities needed for the assignment. Before commissioning them, we confirm the permitted use, costs and who receives, forwards and deals with incoming post. The setup handover records the confirmed arrangements, responsible contacts and any outstanding work, so official correspondence reaches the person who must act.

Company administration services after incorporation
We allocate bookkeeping, accounts, returns, registry changes, licence renewals and official correspondence to named responsible people. The calendar records the due date, the information you must supply and the person who confirms completion. Regular administration can be commissioned for an existing company as well as a new one.
Formation fees, recurring professional fees, address and agent charges, banking costs and taxes are separate cost categories. We organise a first-year and recurring-cost view before the commitment. Changes in ownership, activity or your working location trigger a review of the relevant obligations through ongoing maintenance.

A handover you can use to run the company
You receive the company records, contacts, filing calendar, agreed costs and access arrangements for the work commissioned. We identify where the originals are held, how official notices reach the responsible person and which decisions require your approval. Banking or licence applications still awaiting acceptance are recorded as unfinished tasks.
Where an operational handover is part of the assignment, we walk through a real sequence: issuing an invoice, locating the contract, receiving payment or passing the records to the accountant. A workable process is more useful than a folder marked complete. The walkthrough exposes a missing permission or document while it can still be resolved calmly.

Who acts if you cannot?
A company that depends on your phone, signature and memory remains vulnerable when you travel or become unavailable. We identify the decisions that cannot wait: payroll, supplier payments, customer commitments, renewal deadlines and urgent correspondence.
The appropriate professionals establish the substitute’s corporate authority; the institution confirms the accepted mandate; we organise the contact and access route. The handover connects these arrangements with representation and succession and, where needed, family and business continuity.

Collaboration and what follows

During the assignment
One managed assignment, defined professional responsibilities
We keep the sequence, documents and follow-up together. Lawyers, tax advisers, accountants and registration providers perform their agreed specialist work. Your existing advisers can remain involved, with a clear division of responsibilities.

After the handover
Keep the new base usable
After setup, you can commission administration, access recovery or representation arrangements as needed. A change in where you live or direct the business is a reason to revisit the setup, not merely update the correspondence address.
